Agreement to these terms
These Terms of Service govern your use of the Nomadicode website and any services provided by Nomadicode LLC. By using the site or engaging us, you agree to these terms. If you do not agree, please do not use the site or our services.
Nomadicode LLC is a Utah single member limited liability company. These terms apply to the site and to service engagements unless a signed written agreement says otherwise.
Services and project agreements
Each development engagement is defined by a written proposal, statement of work, master services agreement, or similar agreement accepted by both parties. That agreement controls the scope, deliverables, timeline, fees, payment schedule, acceptance criteria, and any project specific terms.
If a signed project agreement conflicts with these terms, the signed project agreement controls for that engagement. We may decline work that falls outside an agreed scope until the parties approve a written change.
Estimates, fees, and payment
Any estimate, timeline, or pricing shown on this site is informational unless it is included in a signed project agreement. Actual cost and timing depend on the agreed scope, technical conditions, third party dependencies, and client responsiveness.
You are responsible for fees, taxes, and approved expenses described in the applicable project agreement. Late payment may delay work, delivery, support, or access to project materials as permitted by that agreement.
Client responsibilities
You are responsible for providing accurate requirements, timely decisions, authorized access, and all materials needed for the work. You represent that you have the right to provide any content, data, credentials, trademarks, and instructions you give us.
You are responsible for maintaining appropriate backups and for reviewing deliverables, approvals, and production changes within the timeframes in the project agreement.
Intellectual property
Ownership of deliverables is determined by the applicable signed project agreement. Unless that agreement says otherwise, ownership transfers only after all amounts due for the applicable deliverable have been paid in full.
Nomadicode retains ownership of its preexisting tools, templates, know how, libraries, and general methods. We may use them in delivering the services as long as we do not disclose your confidential information. Third party software remains subject to its own license terms.
Confidentiality
Each party will protect the other party's nonpublic business, technical, and financial information using reasonable care and will use it only to perform or receive the services. This obligation does not apply to information that is public through no breach, already known without a confidentiality duty, independently developed, or lawfully received from another source.
A party may disclose confidential information when required by law or legal process, provided it gives notice when legally permitted and reasonably cooperates with efforts to limit disclosure.
Site use and third party services
You may not misuse the site, interfere with its operation, attempt unauthorized access, introduce malicious code, or use the site in violation of applicable law. Content on the site is owned by Nomadicode or its licensors and may not be copied, modified, or used without permission except as allowed by law.
The site may link to third party websites, products, or services. We do not control them and are not responsible for their content, availability, security, or privacy practices.
Disclaimers and limitation of liability
The site is provided on an as available basis. To the fullest extent permitted by law, Nomadicode disclaims warranties not expressly stated in a signed project agreement, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
To the fullest extent permitted by law, Nomadicode will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. Any liability related to a specific engagement is governed by its signed project agreement.
Termination
Either party may end a project engagement as provided in its signed project agreement. Sections that by their nature should survive termination, including payment obligations, confidentiality, intellectual property, disclaimers, and limitations of liability, will survive.
Governing law and contact
These terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Any dispute that is not resolved informally will be brought in a court with proper jurisdiction in Utah, unless a signed project agreement provides a different process.
We may update these terms from time to time. Continued use of the site after the effective date of an update means you accept the revised terms. Questions about these terms can be sent to hello@nomadicode.com.
